Louisiana Registered Agent Requirements

Every Louisiana LLC names a registered agent and a registered office in the state, starting with the Initial Report that accompanies its Articles of Organization and continuing for as long as the company exists. The governing statute is La. R.S. 12:1308, and it has a couple of provisions you will not find in other states' versions.

Who Can Serve Under La. R.S. 12:1308

Louisiana law allows an LLC to name one or more registered agents, and each one must be:

That middle category is pure Louisiana. Few states write law firms into the registered agent statute by name, and it reflects how much of this state's filing culture runs through lawyers and notaries.

The Registered Office Is Your Domicile

The LLC must continuously maintain a registered office in Louisiana, and the statute goes further than most: the registered office is considered the domicile of the LLC for all purposes. That is where you are located in the eyes of Louisiana law, so it deserves more thought than a mail drop. On state filings the office and agent addresses must be physical municipal street addresses; a PO box alone is not accepted.

The agent's job is the classic one everywhere: accept service of process when the LLC gets sued, receive notices from the Louisiana Secretary of State, and get all of it to you fast enough to matter.

Changing Your Louisiana Registered Agent

Agent or office changes go to the Commercial Division on the Change of Registered Office or Agent filing, form #983. The fee is $25 today and rises to $30 on October 1, 2026, under Act 921 of the 2026 Regular Session.

Here is the part people mail back three times before getting right: on a paper filing, the incoming agent must sign a notarized affidavit of acknowledgment and acceptance. Louisiana is notary country, and this filing proves it. An agent change made online through geauxBIZ uses email acceptance from the new agent instead of the notarized paper affidavit.
